Welcome to iCare, a subsidiary of Closing-Call.ai (“iCare,” “we,” “our,” “us”). These Terms & Conditions (“Terms”) govern your use of our website, platform, and AI-powered calling services (the “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, you may not use our Services.

1. Description of Services

iCare provides AI-powered calling and automation solutions designed to support independent living communities. Our Services include but are not limited to:

  • Automated welfare checks (with escalation alerts when necessary).

  • Appointment and medication reminders.

  • Meal selections (breakfast, lunch, dinner).

  • Call documentation and reporting features.

 

The Services are intended to streamline administrative workflows and support care teams. They are not a replacement for emergency response systems or professional medical care.

 

2. Eligibility

By using our Services, you represent and warrant that you:

  • Are at least 18 years of age.

  • Have the authority to enter into these Terms on behalf of yourself or the organization you represent.

  • Will use the Services only in compliance with these Terms and all applicable laws and regulations.

 

3. User Responsibilities

Clients and care teams are responsible for:

  • Providing accurate and up-to-date resident information.

  • Ensuring that residents and families are aware of the use of AI-powered calls for routine tasks.

  • Not using the Services for unlawful, harmful, or unauthorized purposes.

 

4. Data & Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect data. By using our Services, you consent to our data practices.

 

5. Payment Terms

Where applicable, access to the Services may require payment of fees under a subscription or service agreement.

  • Fees are billed as agreed in writing with each client.

  • Late payments may result in suspension of Services.

  • Fees are non-refundable except as expressly stated in a separate service agreement.

 

6. Intellectual Property

All intellectual property rights in the Services, including software, designs, logos, and content, remain the exclusive property of iCare and Closing-Call.ai. You may not copy, modify, distribute, or reverse-engineer any part of the Services.

 

7. Service Availability

We strive to maintain reliable and consistent Services, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend Services for maintenance, updates, or unforeseen issues.

 

8. Disclaimers & Limitation of Liability

  • The Services are provided “as is” and “as available.”

  • iCare makes no warranties, express or implied, regarding reliability, fitness for purpose, or accuracy of the Services.

  • iCare and Closing-Call.ai are not liable for any indirect, incidental, or consequential damages arising from use of the Services.

  • The Services are not an emergency service and should not be relied upon for urgent or life-critical situations.

 

9. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or engage in unlawful use. 

 

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to conflict of law principles.

 

11. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Continued use of the Services after updates constitutes acceptance of the new Terms.
